This is the Terms and Conditions of SUSINOVATE Consulting and The SUSINOVATE website (“SUSINOVATE”).

Acceptance of the terms and conditions of use

1) General

These are the general terms and conditions (“terms and conditions”) of SUSINOVATE website and The SUSINOVATE Consulting Company (“SUSINOVATE”). These terms and conditions apply to the usage of the website, to SUSINOVATE membership and to purchasing and/or using SUSINOVATE 's products and services. You can download or print these Terms and Conditions for reference purposes.

By visiting the SUSINOVATE website, purchasing products, using our services or becoming a member of SUSINOVATE, you agree to accept, be bound by and comply with these terms and conditions. In order to use the services provided by SUSINOVATE, should these services be free, payable or require the creation of a company profiles, you hereby undertake to comply with these terms and conditions of use (hereinafter referred to as the “Terms and Conditions of Use”).

5) Attribution of jurisdiction – settlement of disputes

In the event of any major dispute between the User and SUSINOVATE, the parties agree to seek an amicable solution. These terms and conditions are governed by and construed in accordance with the law of Sweden. All disputes arising out of or in connection with these terms and conditions must be dealt with under the jurisdiction of the courts of Sweden.

Any additional terms and conditions you may propose are rejected unless agreed otherwise in writing. SUSINOVATE reserves the right to change any of these terms and conditions at any time and without notice. SUSINOVATE, therefore, recommends that you review these terms and conditions from time to time, or before making a transaction.

These terms and conditions are governed by and construed in accordance with the law of Sweden. All disputes arising out of or in connection with these terms and conditions must be dealt with under the jurisdiction of the courts of Sweden.

6) Privacy and personal data protection policy

SUSINOVATE recognizes the importance that must be given to the protection of personal data.

SUSINOVATE makes every effort to apply a strict policy on the protection of personal data that consists, in particular, of high levels of security for products and services offered directly by the www.susinovate.com website in an attempt to best protect information concerning an identified or identifiable person gathered on the SUSINOVATE website.

These privacy regulations apply to all the services offered by SUSINOVATE on the www.susinovate.com website and all its language versions.

7) Resiliation

SUSINOVATE reserves the right to close the SUSINOVATE website (or some of its services) at any time with prior notice of thirty (30) days before closure takes effect.

SUSINOVATE may, at any time, suspend and forbid access to the SUSINOVATE website of any User infringing the terms and conditions of use and more generally any legislation and/or regulation that may be applicable.

8) Effective date

The SUSINOVATE terms and conditions of use apply from the moment the User logs onto the www.susinovate.com website.

They take precedence over all previous terms and conditions and may be modified at any time by SUSINOVATE. In this event, the modifications made shall become immediately effective from the moment that they are put on line.

9) Applicable law

This privacy policy is governed by and construed in accordance with the law of Sweden. All disputes arising out of or in connection with this privacy policy must be dealt with under the jurisdiction of the courts of Sweden.

Description of the services

(a) The SUSINOVATE Directory

SUSINOVATE provides an online B2B directory service under the banner “COMPANIES” which is available in English and lists around 1,000 companies active in the agro/food sector. Consulting this directory is totally free of any charge. In order to be listed in the SUSINOVATE directory you may:

either submit an advertisement (limited fields for limited time) free of charge by filling in the free subscription form (Free Listing);
or submit an advertisement for a charge by filling in the online subscription form in the special terms and conditions indicated and printable at the end of the subscription process;
or ask SUSINOVATE for special edits and to draw up an estimate.
The architecture of the Directory and its search section has been fully developed by SUSINOVATE.

SUSINOVATE reserves the right to refuse you as a (new) member or as a (new) company listing in the SUSINOVATE Directory of organisations, if SUSINOVATE deems you/ your company to be contrary to the interest of SUSINOVATE as a whole, its members, and research users in general.

SUSINOVATE endeavours to ensure the accuracy of the SUSINOVATE Directory of Research ("the Directory"), which is compiled from information supplied by SUSINOVATE members. SUSINOVATE cannot be held liable for any inaccuracies or omissions in the information concerning members or company entries in the Directory.

SUSINOVATE reserves the right to amend text in the Directory, without prior notification, which does not conform to its rules or which may undermine the integrity of SUSINOVATE or the Directory.

Subject to the SUSINOVATE Directory of business rules and regulations, for a company to obtain and maintain a Directory listing, the company must have a physical presence in a country. Postbox and/or telephone number are not sufficient. Each office listed in the Directory of businesses needs to be a registered office of the company, occupied by at least one full-time member of staff.

Upon registration or in case the legitimacy of a company listed or applying for a listing in SUSINOVATE’s Directory of businesses is being questioned, the company must provide proof by demonstrating that:

The company is a registered business entity in the country where its office listed in the Directory of Directory has a physical presence as iterated above (eg. through company registration, tax return or other similar documents).
There is a permanent office located in the aforementioned country so that mail sent to that address would find an office (demonstrated through registration, utility bill or similar).
There must be at least one employee with a fixed address in that country (eg. demonstrated through a proof of residency or other similar documents).

As a SUSINOVATE member (client or partner), you are solely responsible for the truthfulness and accuracy of the information you submit. Submitting false or misleading information may result in the withdrawal of your membership and/or company listing from the SUSINOVATE Directory of businesses. You may also be sanctioned by SUSINOVATE´s, notwithstanding legal pursuits by SUSINOVATE or third parties. You will indemnify SUSINOVATE for any damage, including claims from third parties, which result from submitting false or misleading information.

In the event the usage of our services does not comply with these terms and conditions, SUSINOVATE reserves the right to unilaterally and without prior notification suspend its service delivery to the user.

(b) Company profile

Company profile is a service provided on the website that centralises all the bespoke services and profile information of each company subscribing to the be listed in SUSINOVATE directory website.

(c) SUSINOVATE Showcase

Technology or service providers from any country are welcome to submit their innovation via the online SUSINOVATE SHOWCASE platform page.

As an optional part of their submission to SUSINOVATE SHOWCASE, suppliers have agreed to share information with the general public in order to enhance the visibility of their innovations.

The content of these pages is protected by copyright. You may download and print extracts from the publicly accessible pages of this website but you must not sell our content or republish it except with our prior written agreement.

You may link to our publicly accessible pages, but not in a way that is likely to infer your ownership of the content or that our site endorses or is affiliated with yours. The responsibility for ensuring that such links continue to work lies with you. No notice of changes will be given. Substantial copying of any of our pages in any form is prohibited.

This online tool is made available and free of charge so as to provide a consistent and uniform method of allowing organisations with innovative products or services in the field of sustainable agro-food technology to bring their products or services to the attention of the SUSINOVATE.

All submissions are made at the submitters or submitters organisation's risk. While care will be taken to protect the confidentiality of all submitted information, the SUSINOVATE or any member thereof will NOT accept responsibility for disclosure of any confidential information arising from the use of its online systems.

Submitters are assumed to have the full permission of their organisation and any other holder of Intellectual Property rights when making a submission to SUSINOVATE. Full disclosure of holders of IP rights is required.

Private submissions and organisations are advised to ensure they have appropriate Intellectual property protection before making any submission through this online system or by any other means.

No obligation to procure, purchase, lease or enter into any other commercial arrangement is implied as a result of any organisation making the information submitted to the SUSINOVATE via this website or online tool.

The information provided may be shared between the SUSINOVATE members and their expert advisors for the sole purpose of determining whether there is interest in opening commercial discussions with the submitting organisation.

We will not pass contact information to any third parties or use it for any marketing or promotional activities unconnected with the objectives of the SUSINOVATE.

The sharing of information in no way affects the Intellectual Property rights of the submitting organisation.

Where the submitting organisation has indicated its approval, a subset of the information may be presented on the 'Innovation Showcase' section of the SUSINOVATE website. This section is viewable by the public. The content of this section is entirely at the discretion of SUSINOVATE. Submission of information for the showcase does not guarantee it will be shown there nor, in the case of any item displayed, that it will remain there indefinitely.

The information presented to SUSINOVATE via this online channel shall be true, lawful and shall not cause distress or offence. SUSINOVATE reserves the right to block any person or organisation who is deemed by the SUSINOVATE Consulting to be abusing this system.

We at SUSINOVATE may modify, withdraw or deny access to this online tool at any time.

SUSINOVATE undertakes to treat information received with all reasonable care and not to modify it from its 'as submitted' condition. It may be deleted on request from the submitting organisation OR as deemed appropriate by the SUSINOVATE Consulting.

The design, look, feel and implementation of both the website and this online tool are the property of the SUSINOVATE Consulting and its rights allocated according to the SUSINOVATE Consulting Agreement. No part of it may be copied or replicated in any way without permission from the SUSINOVATE Consulting in advance.

DIRECT MARKETING

The personal data may be used by SUSINOVATE or its affiliates for direct marketing purposes for similar services than those to which the User has already subscribed.

The User retains the right to object to such use at any time, upon request and free of charge. The User may simply communicate his request by writing to the following address info@susinovate.com

PAYMENT SERVICE

The payment services integrated into the Website are provided by PAYPAL at www.paypal.com

The relationship between the User and PAYPAL is governed by the respective Privacy Policy available at the following address:

When making a payment through SUSINOVATE, the User declares that he/she has read, understood and accepted the respective PAYPAL privacy policy.

Use of the services and payments

Use of the services

The User of the SUSINOVATE website acknowledges and guarantees to be a company with a legal existence and business activity, and marketing lawful products/services.

The User of the SUSINOVATE website undertakes to communicate and transmit true, exact and full information and to regularly update this information.

The User undertakes to use all the SUSINOVATE website services available in an adequate and non-abusive SUSINOVATE and especially undertakes not to interfere with the correct operation of the SUSINOVATE website in any way whatsoever.

The User must ensure that they do not improperly overload the bandwidths and/or do not transmit elements that may damage, intercept and/or interfere with all or part of the SUSINOVATE website.

The User may not:

engage in any decompilation, inverse engineering or dismantling of the SUSINOVATE website and its associated services or in any attempt to discover their source code;
tamper with or disrupt the operation, communication or any operation related to the SUSINOVATE consulting and its associated services during use;
duplicate, reproduce, copy, modify or create any by-product from the SUSINOVATE website and its associated service.

Orders and purchases

All orders and applications must be either faxed, mailed or emailed. Orders can be paid online through VISA, Eurocard/Mastercard. Orders can also be paid by bank transfer. VISA and Eurocard/Mastercard credit cards are accepted for payments in Swedish krona only. Bank transfer payments must include an invoice reference number or a registration code reference. Bank charges must be paid by the customer.

SUSINOVATE reserves the right to request credit card guarantees from customers who require SUSINOVATE services but have not yet settled their invoice/s. Customers must agree to SUSINOVATE’s payment conditions on Credit Card Guarantee forms. SUSINOVATE will inform customers before charging the credit card.

Once SUINOVATE has received your order form, you should receive confirmation of receipt by e-mail within 24 hours (Mon-Fri and excluding bank holidays). If you do not receive a confirmation of receipt from SUINOVATE, please contact us at info@susinovate.com.

All prices stated on the SUINOVATE website are in EUR and include handling and delivery as applicable. All prices are excluding VAT (Value Added Tax).

Taxes for congress, conferences, forums and workshop registrations are charged depending on their location. Within the European Union (EU), all companies will be charged local VAT. For events outside of the EU no VAT will be charged, however, local taxes may be applicable. This will be communicated on the registration website or other means of communication.

For non-event related items, VAT is levied at 6% on books (including the SUINOVATE Reports) and at 21% on all other publications (including single event papers). The VAT is levied at 21% on membership fees, and on the online company listing fees in the SUINOVATE Directory of businesses. All customers within the EU will be charged VAT, unless their company VAT number is provided. All customers outside of the EU are exempt from VAT.

If a customer is required to make any withholdings from any sum payable to SUINOVATE, then the sum payable by Customer shall be increased to the extent necessary to ensure that SUINOVATE receives and retains a net amount equal to the amount SUINOVATE would have received and retained in the absence of such required withholding. It is the customer’s responsibility to communicate this to SUINOVATE before payment.

Fully-paid up SUINOVATE Members and Partners receive reduced rates on all SUINOVATE publications and event registration fees.

All customers will receive a 25% discount by purchasing three or more publications in one order. Quantity discounts are also available on purchases of 10 or more single event papers in one order. Special offers may be periodically featured on the SUINOVATE website.

All payments must be made in SEK or as otherwise specified. Pre-payment is required on all publication orders before they can be dispatched. All other payments should be made within 14 days of the invoice issue date unless stated otherwise on the invoice. If an invoice remains unpaid SUINOVATE may also invoice the customer for all costs incurred with collection of the debt.

Publications

To ensure secure and prompt delivery, publication orders will be delivered by registered priority mail only.

Products are packed in a manner which reasonably assures that they are protected against damage and deterioration. Products are delivered to the address you provide formally to SUSINOVATE as your "delivery address". Any inaccuracies or incompleteness in this address is at your own risk.

You may, without giving any reason, return products sold by SUSINOVATE within 5 working days of receipt for a full refund. SUSINOVATE will not pay for the return shipping costs. SUSINOVATE will not refund or accept products that are returned more than 5 working days after receipt.

If the product(s) you have purchased from SUSINOVATE are damaged during delivery, you may return the product(s) within 30 days of receipt for a full refund or replacement product(s). SUSINOVATE will only pay the return shipping costs if the return is a result of an error of SUSINOVATE. SUSINOVATE will not refund or accept products that are returned more than 30 days after receipt.

In addition, SUSINOVATE cannot refund and accept returns if:

products are not in their original condition and in their original packaging.
products are damaged, other than during delivery, or are missing parts
books, magazines, CD Roms, CDs, DVDs, VHS tapes or cassette tapes have been opened, taken out of the plastic wrapping, or if the seal has been broken.

To ensure secure and prompt delivery of single event papers, industry studies and reports, each will be sent as a PDF file by email.

Requests to receive a compilation of single event papers, industry studies or reports on CD-Rom should be made in writing and sent to info@susinovate.com. These CD-Roms will be delivered by registered priority mail only and will be charged at an additional 10 EUR per CD Rom. Each CD Rom can contain a maximum of 10 papers.

Responsibility

The company that has an advertisement in the Directory is fully responsible for the Contents to which its gives access via the advertisements put on line in the SUSINOVATE website and/or links to exterior sites. The company particularly undertakes to ensure that the aforementioned Content is not contrary to Swedish law and does not disrupt public order or infringe third party rights.

Insofar as SUSINOVATE is unable to monitor all the content of the Internet sites linked to the SUSINOVATE website, the User acknowledges that EUROPAGES may not be held responsible for any products, services and/or information available on and/or from such Internet sites.

SUSINOVATE may not be held liable for any direct or indirect damage that may arise from the use of the SUSINOVATE website for any reason whatsoever.

SUSINOVATE declines all responsibility for the malfunction of the SUSINOVATE website, for incompatible operation in conjunction with any other product, hardware or software and/or any possible loss or distortion of data.

Some SUSINOVATE website pages contain links to other external/internet pages that have no partnership with SUSINOVATE.

SUSINOVATE strongly recommends that its Users carefully read the personal data protection policy of each Internet site that they consult.

SUSINOVATE may not under any circumstances be held responsible for the exchanges between Users and companies present on the SUSINOVATE website or for any future business relationship that may be established between them, SUSINOVATE being a third party in these relationships.

NOTE CONCERNING MINORS

Persons under the age of 13 and persons who do not have full legal capacity are not permitted to use the SUSINOVATE Website. SUSINOVATE asks them not to provide their personal data.

Licence

The company that has a paid or free advertisement in the Directory grants SUSINOVATE the non-exclusive, worldwide right and free use of its brand names, logos, trading name and any other content included in the Directory advertisement allowing SUSINOVATE to reproduce, publish and disseminate them on its website, on the websites of its partners and on third party websites. This right is granted for the entire period the advertisement is published in the Directory.

The company that has an advertisement in the Directory guarantees that they hold all the rights authorizing them to grant SUSINOVATE the above-mentioned rights and guarantees that they do not prejudice the rights of any third party.

Security

SUSINOVATE is unable to offer any absolute guarantee of security, insofar as the Internet is an open network that is, by its very nature, sensitive to such risks.

SUSINOVATE guarantees that its services comply with its security policy and may not be held liable in the event of a malfunction in the exterior network.

Under no circumstances shall the liability of SUSINOVATE be invoked for any prejudice and/or direct or indirect damage suffered by the User resulting from any interruption or malfunction of any kind, from the suspension and/or termination of the connection to the SUSINOVATE website.

The User of the website hereby declares that it is aware of the said risks and accepts them. The User undertakes to keep strictly confidential any login name and password chosen and communicated to SUSINOVATE.

Equipment and connection charges

It is the User’s responsibility to install the appropriate equipment in order to be able to connect to the SUSINOVATE website.

All costs relating to equipment, connection and transmission necessary for the use of the Directory and other services shall be borne exclusively by the User. Moreover, the User shall take all appropriate measures to protect their own data and/or software stored on their computer equipment from any loss or damage.

The User is wholly liable for the connection.

Intellectual property rights

All editorial elements and content of the SUSINOVATE website (notably trademarks, texts, graphics, logos, animations, etc.) are the exclusive property of SUSINOVATE, with the exception of elements contributed by SUSINOVATE’ partners or other sites accessible via the SUSINOVATE website.

All rights of reproduction or representation of the site www.susinovate.com are reserved for all countries and for all media, present and/or future.

The User acknowledges that the downloading of addresses and information from the SUSINOVATE website, especially for the purposes of constituting a database is prohibited.

With regard to the database making up the Directory and its associated services, the User acknowledges and accepts that the data comprised therein is legally protected and, in accordance with the aforementioned legal provision, shall refrain from:

extracting, reusing, storing, reproducing, representing or stocking, directly or indirectly, in any medium whatsoever, by any means and in any form whatsoever, all or any qualitatively or quantitatively substantial part of the contents of the databases on the Directory and any of its associated services,
systematically and repeatedly extracting or reusing any qualitatively or quantitatively non-substantial part of the contents of the databases on the Directory and its associated services, that are accessed during operations that obviously go beyond the normal terms and conditions of use of a directory.
